This CLE will provide business and transactional attorneys with a litigator's perspective on drafting and litigating buy-sell agreements among business owners. Specific topics to be discussed include:

* Dangers of relying on boilerplate provisions.

* Determining if and when to commence litigation over a buy-sell agreement.

* Litigation considerations when drafting buy-sell agreement provisions, such as valuation, deadlock resolution, and management following an operative event, such as death or termination of employment.

* Fiduciary duties owed by a managing owner to non-managing owners.

The presentation will emphasize solutions and suggestions for transactional attorneys, drawing on the presenter's experience and in-depth knowledge.
